Zovysys does not guarantee that every service or solution will be suitable for every business requirement unless such suitability has been expressly agreed in writing.
Proposals and Quotations
Any proposal, quotation, estimate, or service description provided by Zovysys is subject to the assumptions, scope, validity period, and conditions stated in the relevant document.
Unless expressly stated otherwise:
- Estimates are based on information available at the time of preparation;
- Changes in requirements may affect project timelines and fees;
- Third-party costs may be charged separately;

Clients may request changes to agreed requirements, functionality, deliverables, designs, integrations, or timelines.
Changes may affect:
- Project scope;
- Development effort;
- Delivery timelines;
- Resources;
- Third-party costs; and
- Fees.
Zovysys may assess requested changes and communicate the resulting impact before implementing material changes.

- Delayed payments may affect service delivery or project timelines.
Zovysys reserves the right, subject to applicable contractual terms and law, to suspend or restrict services where undisputed payments remain overdue.
Third-Party Services
Some solutions provided by Zovysys may depend on third-party products, platforms, APIs, hosting providers, software, cloud services, payment gateways, application stores, or other external services.
Examples may include cloud infrastructure providers, software platforms, communication services, payment providers, analytics services, APIs, and other third-party technologies.

Intellectual Property
Unless otherwise agreed in writing, Zovysys retains ownership of its pre-existing intellectual property, proprietary methodologies, frameworks, libraries, tools, reusable components, know-how, processes, templates, designs, concepts, and other materials developed independently of a specific client engagement.
Client-specific deliverables and intellectual property rights will be governed by the applicable agreement between Zovysys and the client.
Where ownership of a deliverable is transferred to a client, such transfer may be subject to full payment of applicable fees and any other conditions stated in the relevant agreement.
Nothing in these Terms automatically transfers ownership of Zovysys's pre-existing intellectual property.
Client Materials
The client retains ownership of materials, information, content, trademarks, data, documents, and other intellectual property supplied by the client.
The client grants Zovysys the permissions reasonably necessary to use such materials for the purpose of providing the agreed services.
The client represents that it has the necessary rights and permissions to provide such materials to Zovysys and authorize their use for the relevant services.
The client is responsible for ensuring that materials supplied by it do not knowingly infringe applicable laws or third-party rights.
Confidentiality
Each party may receive confidential or proprietary information belonging to the other party during a business relationship.
Each party agrees to take reasonable measures to protect confidential information and to use such information only for legitimate purposes related to the relevant business relationship.

The handling of personal information collected directly by Zovysys is described in our Privacy Policy.
Where Zovysys processes personal information on behalf of a client as part of providing services, the processing may additionally be governed by the applicable service agreement, data processing terms, client instructions, and applicable data protection laws.
Clients are responsible for ensuring that they have appropriate legal authority, notices, consents, permissions, and other requirements necessary to provide personal information to Zovysys for processing.
Security
Zovysys takes reasonable technical and organizational measures appropriate to the nature of the services to protect information and systems under its control.
However, no technology, network, system, or Internet transmission can be guaranteed to be completely secure.
Clients are responsible for maintaining the confidentiality of credentials, accounts, API keys, passwords, and access information under their control.
Clients should promptly notify Zovysys if they become aware of unauthorized access relating to systems or services provided by Zovysys.
Deliverables and Acceptance
Where applicable, deliverables may be subject to review and acceptance procedures specified in the applicable agreement.
A deliverable may be considered accepted where:
- The client expressly approves it;
- The client begins using the deliverable for its intended purpose; or
- The applicable agreement provides another acceptance mechanism.
Any defects or issues should be reported within the applicable review or warranty period specified in the relevant agreement.
Maintenance and Support
Unless expressly included in the applicable agreement, ongoing maintenance, technical support, monitoring, hosting, infrastructure management, updates, and other post-delivery services are not automatically included in project fees.
Where maintenance or support services are provided, their scope, availability, response times, exclusions, and fees may be defined separately.

- Protect the security or integrity of its systems;
- Prevent unlawful or unauthorized activity;
- Address material breaches of these Terms or an applicable agreement;
- Comply with legal or regulatory requirements; or
- Address material payment defaults, subject to applicable contractual and legal requirements.
Upon termination, the parties will comply with the applicable obligations concerning outstanding payments, intellectual property, confidentiality, data, access, and other matters that survive termination.

Zovysys will not be responsible for delays or failure to perform obligations caused by circumstances beyond its reasonable control.
Such circumstances may include natural disasters, war, terrorism, civil unrest, government actions, internet or telecommunications failures, power failures, widespread cyber incidents, pandemics, labor disruptions, failures of third-party infrastructure, or other events that could not reasonably have been prevented or controlled.
The affected party will take reasonable steps to mitigate the effects of such circumstances.
